Before publishing: this is a standard-practice draft, not a substitute for legal advice. It's filled in with Vesper Talent LTD's details, covers applicants from the United States, Canada, and Australia, and sets Ontario, Canada as the governing jurisdiction. Have it reviewed by a lawyer before this goes live, particularly around the representation agreement referenced in Section 3, which should be a separate, properly drafted contract.

1. Acceptance of these terms

By accessing this site or submitting the application form, you agree to these Terms of Use. If you don't agree, please don't use this site. These terms are between you and Vesper Talent LTD, trading as Vesper Talent ("we," "us," "our").

2. Eligibility

This site and the services described on it are intended solely for individuals aged 18 and over who are based in the United States, Canada, or Australia. We don't currently accept applications from outside these three countries. By submitting the application form, you confirm that you're at least 18 years old, based in one of these countries, and legally able to enter into an agreement in your jurisdiction.

3. What this site is, and what it isn't

Vesper Talent is a creator management agency. This site lets you apply to be considered for representation. Submitting an application does not create any representation agreement, guarantee of a call, or guarantee of acceptance. If we decide to work together, the actual terms of that relationship, including revenue share, responsibilities, and exit terms, will be set out in a separate written agreement that both parties sign. Nothing on this site should be read as an offer of representation.

4. No income or results guarantee

Any figures, examples, or statistics shown on this site are illustrative and reflect specific individual results, not a promise or guarantee of what any particular creator will earn. Past results don't guarantee future performance, and individual outcomes vary based on many factors outside our control.

5. Accuracy of the information you give us

You agree that the information you submit in the application form is accurate and belongs to you. Knowingly submitting false information may result in your application being declined or any resulting agreement being terminated.

6. Third-party tools on this site

This site uses Calendly for call scheduling and may use the Meta Pixel for advertising measurement. Your use of these tools is also subject to their own terms and privacy policies, which we don't control. See our Privacy Policy for more detail on what data these tools collect.

7. Intellectual property

The content on this site, including text, design, and branding, belongs to Vesper Talent LTD unless otherwise noted. You may not copy, reproduce, or repurpose it without our permission.

8. Limitation of liability

This site and its content are provided "as is." To the extent permitted by law, we're not liable for any indirect, incidental, or consequential loss arising from your use of this site or reliance on any information on it. Nothing in these terms limits any liability that can't be excluded under applicable law, including the Australian Consumer Law, applicable US state consumer protection law, or Canadian consumer protection law, whichever applies to you.

9. Changes to these terms

We may update these terms from time to time. The "last updated" date at the top of this page reflects the most recent version. Continued use of this site after changes means you accept the updated terms.

10. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles, and any disputes will be handled in the courts located in Toronto, Ontario, unless local consumer protection law in your country of residence requires otherwise.
